These terms of use (the “Terms”) govern the use of the 1mpact.ca website and your interaction with the software of 1MPACT Partenaires d'affaires inc. (“1MPACT”, “we”), including viewing and accepting a service proposal online (together, the “Service”). By using the site or responding to a proposal, you confirm that you have read, understood and accepted these Terms.
1. About the Service
1MPACT is an HR business-partner firm. We operate the 1mpact.ca website and an internal software tool that we use to catalogue our service offerings, prepare AI-assisted proposals, send them to our clients and obtain their acceptance through an electronic signature. The Service is not a product or a subscription offered to third parties: it is a tool internal to 1MPACT. Its features may change.
2. Team accounts
Access to the software is reserved for 1MPACT team members, by invitation. Each member is responsible for the confidentiality of their credentials and for any activity carried out under their account, and must notify us without delay of any unauthorized access. Our clients do not have an account: they view and accept a proposal through a private link sent to them.
3. Acceptable use
By using the site or the Service, you agree not to:
- Use it for illegal or fraudulent purposes or in a way that infringes the rights of others;
- Copy, modify, decompile, disassemble or attempt to extract the source code of the Service;
- Circumvent security measures, probe for vulnerabilities, mass-extract content or overload the infrastructure;
- Upload malicious content or impersonate others.
4. Content and proposals
- 1MPACT content. The service offerings, proposals, clauses and other content created by 1MPACT remain the property of 1MPACT and may not be reproduced or reused without our authorization, subject to the licence needed to view a proposal sent to you;
- Client information. When you provide us with information (through the site assistant or when accepting a proposal), you confirm that it is accurate and that you have the right to disclose it to us. Its processing is described in our privacy policy.
5. AI-generated content
1MPACT uses language models to suggest proposal text. Personal information is anonymized before any artificial-intelligence processing (see the privacy policy). This content is generated automatically and may contain inaccuracies; 1MPACT reviews and validates all content before sending it to a client. Generated content does not constitute legal, accounting or any other professional advice. 1MPACT remains solely responsible for the proposals it sends, their accuracy and their contractual effects.
6. Electronic signature
The Service allows a proposal to be accepted through an electronic signature accompanied by an audit trail (name, email, timestamp, IP address, browser identifier). The parties acknowledge that such a signature may validly bind them under Québec's Act to establish a legal framework for information technology (CQLR, c. C-1.1) and sections 2826 and following of the Civil Code of Québec.
7. Protection of personal information
The processing of personal information is described in our privacy policy, which forms an integral part of these Terms.
8. Availability of the Service and disclaimer of warranties
We make reasonable efforts to ensure the availability and reliability of the Service, without however guaranteeing uninterrupted or error-free operation. To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including as to merchantability, fitness for a particular purpose or non-infringement. We may temporarily suspend the Service for maintenance, endeavouring to limit its impact.
9. Limitation of liability
The site and the Service are made available to you free of charge. To the maximum extent permitted by applicable law, 1MPACT's total liability to you, on all grounds combined, is limited to one hundred Canadian dollars (CA$100). 1MPACT is not liable for indirect, incidental or consequential damages, nor for loss of profits, revenue, data or business opportunities. Nothing in these Terms limits liability that cannot be excluded under the law, including in cases of intentional or gross fault.
10. 1MPACT's intellectual property
The site, the Service, its code, its interface, its trademarks, its logos and its content remain the exclusive property of 1MPACT or its licensors. No right is granted to you other than the limited right to view the site and the proposals sent to you.
11. End of access
- You may stop using the site at any time;
- We may restrict or withdraw access to the site or to a proposal link in the event of misuse or breach of these Terms, or when a proposal is no longer active;
- At your request, we provide you with a copy of the information we hold about you, in accordance with our privacy policy.
12. Governing law and jurisdiction
These Terms are governed by the laws of Québec and the laws of Canada applicable therein. Any dispute relating to the Service falls within the exclusive jurisdiction of the courts of the judicial district of Montréal (Québec), subject to applicable mandatory provisions.
13. Language
These Terms are published in French and in English. In case of discrepancy, the French version prevails. The parties confirm their wish that any related document be available in French, in accordance with the Charter of the French language.
14. General provisions
- Entire agreement. These Terms and the privacy policy constitute the entire agreement between the parties regarding the Service;
- Severability. If a provision is held invalid, the others remain in force;
- No waiver. Failure to exercise a right does not constitute a waiver of it;
- Assignment. You may not assign these Terms without our written consent; we may assign them in the context of a reorganization or business transfer.
15. Changes to the Terms
We may amend these Terms. The current, dated version is published permanently at this address. Continued use of the site after a change takes effect constitutes acceptance of the amended Terms.
